1. Who we are
Rubber Duck is provided by James Clevely, a sole trader based in the United Kingdom ("we", "us"). When you use Rubber Duck you are contracting with James Clevely. Contact: clevelyjames53@gmail.com.
2. Acceptance
By creating an account or continuing to use Rubber Duck you agree to these terms. If you use it on behalf of a business, you confirm you have authority to bind that business. You must be at least 18.
3. The service
Rubber Duck is online software for haulage companies to manage jobs, drivers, vehicles, walkaround checks, defects, documents, announcements, messages and reports, with a phone app for drivers. We grant you a limited, non-exclusive, non-transferable right to use it while your company's subscription or free trial is active.
4. Your responsibilities
Rubber Duck is a record-keeping tool. You remain responsible for your legal obligations as an operator, including roadworthiness, daily walkaround checks, defect rectification, drivers' hours and licence checks. Keep your login details confidential and your information accurate; you are responsible for activity under your account and for the people you invite to your company.
5. Acceptable use
- No unlawful use, fraud or spam.
- No uploading content you don't have the right to use, or that infringes anyone's rights.
- No malware, probing, scraping or interfering with security.
- No reverse engineering, reselling or getting around technical limits.
6. Your content and our IP
You own the content you add, such as jobs, photos, documents and messages. You give us a limited licence to host and process it only to provide the service. We own Rubber Duck, its software, documentation and branding.
7. Payments and subscriptions
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, tax, renewal, cancellation and refund terms are set out in Paddle's Buyer Terms.
Each company workspace costs £99 a month per company (including any VAT shown at checkout), renewing monthly until cancelled. New companies get a 30-day free trial with no card needed. If a company's trial ends or its subscription stops, access to the office dashboard and driver app is paused until it is renewed; data is kept as described in our Privacy Notice.
8. Service level
We work to keep Rubber Duck available but do not guarantee it will be uninterrupted or error-free. To the fullest extent permitted by law, implied warranties (including merchantability and fitness for purpose) are excluded.
9. Liability
Our total liability is limited to the fees you paid in the 12 months before the claim. We are not liable for indirect or consequential losses such as loss of profit, data or goodwill, or for fines or penalties arising from your operations. Nothing limits liability for fraud, death or personal injury caused by negligence.
10. Suspension and termination
We may suspend or end access for material breach, non-payment, security or fraud risk. When access ends you have 30 days to request an export of your data, after which it may be deleted.
11. General
You may not assign these terms without our consent; we may assign them in a business sale. We are not responsible for delays caused by events beyond reasonable control. These terms are governed by the laws of England and Wales, and its courts have jurisdiction.
